1. Acceptance of Terms
By creating a VendorValid account or using the service in any way, you agree to these Terms of Service. If you are using VendorValid on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms. If you do not agree, do not use the service.
2. Description of Service
VendorValid is a cloud-based software service for tracking vendor insurance certificates (COIs), managing compliance rules, automating expiry notifications, and providing vendor self-service upload portals. The service is provided "as-is" and may be modified, updated, or discontinued with reasonable notice to account holders.
3. Accounts and Access
You are responsible for maintaining the confidentiality and security of your account credentials. You may not share login credentials or permit access by more users than your subscription plan allows. You must notify us immediately of any suspected unauthorized access at security@vendorvalid.com.
4. Acceptable Use
You may use VendorValid only for lawful purposes related to vendor insurance and compliance management. Prohibited uses include: storing or distributing illegal content, attempting unauthorized access to other accounts or systems, reverse engineering the service or its AI components, and using automated tools to scrape or extract data.
5. Your Data and Content
You retain full ownership of all data you upload to VendorValid — including vendor information, insurance documents, and company data. By uploading content, you grant VendorValid a limited, non-exclusive license to store and process that content solely to provide the service. We do not sell your data to third parties.
6. Payment and Billing
Paid plans are billed monthly or annually in advance via Stripe. Subscriptions renew automatically unless cancelled before the renewal date. We do not provide refunds for partial billing periods. If payment fails, your account enters a grace period of 7 days before being downgraded. Annual billing is non-refundable after 14 days from purchase.
7. Cancellation
You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of the current billing period. After cancellation, your data is retained for 30 days to allow recovery, then permanently deleted. To cancel, visit Settings → Billing.
8. Limitation of Liability
VendorValid is a software tool to assist with insurance certificate tracking. We are not an insurance company, broker, or legal advisor. VendorValid is not liable for lapsed vendor insurance coverage, claims denials, litigation arising from expired certificates, or financial damages from reliance on the service. Our total liability in any circumstance is limited to fees paid in the prior 3 months.
9. Intellectual Property
VendorValid and its features, AI models, UI design, documentation, and brand assets are owned by VendorValid and protected by intellectual property laws. You may not copy, modify, or distribute any part of the service without written permission. Your company data remains yours.
10. Modifications to Terms
We may update these terms at any time. For material changes, we will notify account owners by email at least 14 days before the new terms take effect. Continued use of the service after the effective date constitutes acceptance.
11. Termination
VendorValid may suspend or terminate your account for material violations of these terms, including non-payment, abuse, or illegal activity. Where practical, we will provide advance notice. Upon termination, your data will be deleted within 30 days.
